(1) 買家須在拍賣成交日起七日內領取所購買的拍賣品。若買家未能在拍賣成交日起七日內領取拍賣品,則因逾期造成對該拍賣品的搬運、 貯存及保險費用均由買家承擔,且買家對其所購拍賣品負全責。即使該拍賣品仍由本公司或其代理人代為保存,本公司及其工作人員或其代理人對任何原因所致該拍賣品的毀損、損失,不負任何責任。
(2) 本公司工作人員應買家要求代為包裝及處理購買的拍賣品,應視為本公司對買家提供的服務。本公司可酌情決定是否提供此項服務,若因此發生任何損失均由買家自負。此外,對於本公司向買家推薦的包裝公司及裝運公司所造成的一切錯誤、遺漏、損壞或遺失,本公司亦不承擔責任。
(3) 若買家未能在成功拍賣後七日內領取,則不論是已付款與否,本公司將容許在買方的支付下,搬移到協力廠商貨倉存放,所引致之貯存、搬運、保險及任何其它費用,連同欠本公司之所有其它款項付清後,方可領取已購拍賣項目。
/買家須知/
一. 競投人須憑有效身份證或護照辦理登記手續領取競投牌號, 並交納保證金港幣100,000.00元。上述保證金在拍賣結束後,若競投人未能購得拍賣品,可於當場領回保證金。若競投人購賣拍賣品,則抵作購買價款一部份。若有餘額則於競投人領取拍賣品時一併退還;若競投人未按期付清購買價款,保證金將不會退還。
二. 競投人應妥善保管自己的競投牌號,謹防丟失。未經本公司書面同意,競投人不得將自己的競投牌號轉借他人使用。否則競投人需對他人使用其競投牌號競投相應拍賣品的行為承擔全部責任。
三. 當拍賣官下槌,即表示對最高競投價之接受,此時買家將對拍賣品承擔全部責任,拍賣會結束後將以電話/郵件通知相關的賣家/買家,競投結果將在官方網站上公佈。
四. 拍賣會結束後。本公司將為售出之拍賣品提供自拍賣日起,最多為期五天之保險,五天期滿後或自提取時起,拍賣品之風險將全由買家承擔。
五. 所有購買價款以港幣為結算單位,買家必須全額支付購買價款後,才可提貨。若以支票 、匯票方式付款,須待銀行確認收款方可提貨。
六. 本公司對拍賣品的真、偽及品質不承擔缺陷擔保責,競投人及或其代理人有責任自行瞭解有關拍賣品的原物狀況,並對自己競投拍賣品的行為承擔責任。本公司鄭重建議,競投人或其代理人應在拍賣進行之前,親自鑒定其有興趣競投的拍賣品之原物, 自行判斷該拍賣品是否符合其描述,而不應依賴本公司拍賣品圖錄以及其它形式的影像製品和宣傳品之陳述作出決定。
/ Notice To Buyers /
I. All Bidders shall obtain a paddle by presenting his/her ID card or valid passport and place a deposit of HKD100,000.00.
If the Bidder finishes the auction without any successful bid, the deposit will be returned immediately after the auction. If the Bidder had successful bids, the deposit shall be applied to the settlement of the account. Any balance shall be returned when the Bidder collects the Lot(s). Should the Bidder fail to settle the payment as required, the deposit will be forfeited.
2. All Bidders shall keep the paddle under his/her safe custody, and shall not lend to any other person(s). Otherwise he/she shall bear all the responsibility associated with the use of his / her paddle for bidding or any other uses.
3. The striking of the hammer represents the acceptance of the highest bid at which moment the Bidder shall bear all the obligations associated with the successful bids. We will notify the related Seller/Buyer by phone/email accordingly, and announce the auction result on official website.
4. We will only provide insurance for the Lots for five days after the auction ended. After the expiry of such insurance, the bidder shall bear all the risks related to the Lots purchased.
5. All payments or settlements shall be made in Hong Kong Dollars, bidder shall only collect the Lots after full payments are made. Payments should be made by cheque, cash or credit cards. Lots will only be released alter bank clearance.
6. We will not provide any warranty as to the authenticity and/or conditions of the Lots. The bidders or their agents shall verify the conditions of the Lots and be responsible for all his/her actions associated with the auction. We strongly recommend the bidders and his her agents to inspect or examine the original Lots, and determine whether the descriptions are true and accurate, and should not be rely upon the Sale Catalogue or any of our illustrations, images or advertisements.
第一部份 總則
第一條 規則制定
本規則是依據香港相關的法律、法規、條例及本公司章程,並參照國際通行慣例制定。買家,賣家務須仔細閱讀本規則各項條款,並對自己執行的行為負責。在拍賣活動中競投即表示競投者同意受本業務規則的約束。
第二條 聲明
(1) 在本公司的公開拍賣活動中,本公司一般擔任賣家的代理人,競投人的最高出價經拍賣官落槌或以其他公開表示買定的方式確認時,即表明賣家與該競投人之間關於拍賣品賣買合同關係已合法生效,該競投人即成為該拍賣品的買家。因此產生之法律後果,由賣家與買家各自承擔。
(2) 本公司作為賣家的代理人,對賣家或買家的任何違約行為不承擔責任。
第三條 名詞解釋
本業務規則中,下列詞彙具有以下含義:
(1)“本公司”指智得拍賣有限公司;
(2)“競投人”指參加本公司的拍賣活動,憑身份證或護照登記並已辦理必要手續後,取得合法競投權的個人或組織,包括買家本人;
(3)“買家”指拍賣官已接受出價最高之人士;
(4)“拍賣品”指交予本公司供拍賣出售之物品,尤其指任何圖錄內編有拍品編號而加以說明的物品;
(5)“賣家”指委託本公司拍賣物品的物主或物主之代理人或保管物品之人士;
(6)“成交價”指拍賣官以擊槌接納之最高競投價或於拍賣後出售則為協議價格;
(7)“底價”指賣家提出並與本公司協定後書面確定的拍賣最低成交價(保密);
(8)“拍賣日”指在某次拍賣活動中,本公司公佈的正式開始進行拍賣交易之日。
第二部份 關於競投人的條款
第四條 競投人的身份
(1) 除非在拍賣日前,本公司以書面認可競投人以代理人身份申請參與拍賣,否則競投人會被視為以本人身份參與競價;
(2) 競投人為個人的,應在拍賣日前憑政府發出附有照片的身份證明檔(如居民身份證或護照)填寫並簽署登記檔,並提供現時住址證明(如公用事業帳單或銀行月結單);競投人為公司或其它組織的,應在拍賣日前憑有效的註冊登記檔,領取競投號牌。本公司可能要求競投人出示用作付款的銀行資料或其它財政狀況證明。
第五條 競投號牌
本公司可根據不同拍賣條件及拍賣方式等任何情況,在拍賣日前公佈辦理競投號牌的條件和方法,包括但不限於制定競投人辦理競投號牌的資格條件。
本公司鄭重提示,競投號牌是競投人參與現場競投人的唯一憑證。競投人應妥善保管,不得將競投號牌出借他人使用。一但丟失,應立即以書面方式或致電本公司辦理補領手續。
無論是否接受競投人的委託,凡持競投號牌者在拍賣活動中所實施的競投行為均視為競投號牌登記人本人所為,競投人應當對其行為承擔法責律責任,除非競投號牌登記人本人已以本公司認可的書面方式在本公司辦理了該競投號牌的遺失手續,並由拍賣官現場宣佈該競投號牌作廢。
第六條 保證金
競投人應在領取競投號牌前交納保證金,保證金由本公司在拍賣日前公佈。在拍賣結束後五個工作日內,若競投人未能投得拍賣品,則全額無息退還競投人;若競投人投得拍賣品,則用作繳付一部份成交價。若有餘額,則於競投人領取拍賣品時,一併退還。
保證金收取標準,按競投總額計算如下:
- 競投總額 HK$50,000.00 或 以下????? 預付 100%
- 競投總額 HK$50,001.00–200,000.00???預付 50%
- 競投總額 HK$200,001.00 或 以上???? 預付 25%
第七條 圖錄及其它說明
(1) 本公司在拍賣圖錄或其它任何媒體上對任何拍賣品的有關文字、估價、圖片以及其它形式的影像製品和宣傳品,僅供競投人參考,並可於拍賣前修訂,不表明本公司對拍賣品的真偽、價值、色調、品質、缺陷作擔保。
(2) 因印刷或攝影等技術原因造成拍賣品在圖錄及/或其它任何形式的圖示,影像製品和宣傳品中的色調、顏色、形態等與原物有誤差者,以原物為準。
(3) 本公司鄭重建議,競投人應在拍賣進行前親自鑒定有意競投的拍賣品之原物,自行判斷該拍賣品是否符合描述,而不應依賴本公司拍賣品圖錄以及其它形式的影像製品和宣傳品之陳述作出決定。
第八條 委託競投
(1) 本公司建議競投人親自競投,如無法出席,可書面委託本公司代理,但對代理競投過程中所出現的過失或疏忽或無法代為競投,本公司及其職員概不負責。
(2) 委託競投應在規定時間內(早於拍賣日前二十四小時)以書面形式向本公司申請,並須繳付保證金完成辦理手續。
(3) 如本公司就一拍賣品收到多個委託競投之相同競投價,而在拍賣時此乃該拍賣品之最高競投價,則以最先與本公司辦理委託競投手續者為拍賣品的買家。
第九條 委託競投之免責
委託競投是由本公司為競投人提供代為傳遞競投資訊的免費服務,本公司及其工作人員對競投未能成功或代理競投過程中出現的任何錯誤、遺漏、 疏忽、過失或無法代為競投等不承擔任何責任。
第十條 底價及估價
除非本公司說明該拍賣品無底價,否則所有拍賣品均設有底價。底價(保密) 一般不高於本公司於拍賣前公佈的最低估價。如拍賣品無底價,除非已有競投,否則拍賣官有權自行決定起拍價,但不得高於最低估價。
在任何情況下,本公司對拍賣品在拍賣中未達底價而不成交(流拍)不會承擔任何責任。若拍賣品競投價格低於底價,拍賣官有權自行決定以低於底價的價格出售拍賣品。但在此情況下,本公司向賣家支付之款項為按底價出售拍賣品時賣家應可收取之數額。估價在拍賣日前估定,並非確實售價,不具有法律約束力。任何估價不能作為拍賣品落槌價之預測。本公司有權隨時修訂已作出之估價。
第十一條 貨幣兌換顯板
本公司為方便競投人,可能於拍賣中使用影像投射或其它形式的顯示板,所示內容僅供參考。無論影像投射或其它形式的顯示板所顯示之數額,拍賣品編號,拍賣品圖片或港幣競投價之相等外幣,其準確程度均可能會出現非本公司所能控制之誤差。因此導致買方蒙受之任何損失,本公司概不負責。
第十二條 拍賣官之決定權
(1) 拍賣官具有絕對的決定權,有權拒絕任何競投,以其決定之方式推動出價、將任何拍賣品撤回、以及如有誤差或爭議,將拍賣品重新拍賣。
(2) 在競投時,競投人應承認本公司的加價幅度,拍賣官有權調節加價幅度。
第十三條 拍賣成交
最高應價經拍賣官落槌或以其它公開表示買定的方式確認該競投人競投成功,即表明該競投人與賣家之間達成了關於該拍賣品的買賣合約,買家應當即時簽署“成交確認書”確認。
第十四條 酬金
競投人競投成功後,即成為該拍賣品的買家。買家除支付成交價外,另須支付酬金予本公司,酬金收取標準按每件落槌價計算比率如下 :
HK$ 1,000,000.00 或以下 20%
HK$ 1,000,001.00 或以上 18%
第十五條 領取拍賣品
(1) 買家須在拍賣成交日起七日內領取所購買的拍賣品。若買家未能在拍賣成交日起七日內領取拍賣品,則因逾期造成對該拍賣品的搬運、 貯存及保險費用均由買家承擔,且買家對其所購拍賣品負全責。即使該拍賣品仍由本公司或其代理人代為保存,本公司及其工作人員或其代理人對任何原因所致該拍賣品的毀損、損失,不負任何責任。
(2) 本公司工作人員應買家要求代為包裝及處理購買的拍賣品,應視為本公司對買家提供的服務。本公司可酌情決定是否提供此項服務,若因此發生任何損失均由買家自負。此外,對於本公司向買家推薦的包裝公司及裝運公司所造成的一切錯誤、遺漏、損壞或遺失,本公司亦不承擔責任。
(3) 若買家未能在成功拍賣後七日內領取,則不論是已付款與否,本公司將容許在買方的支付下,搬移到協力廠商貨倉存放,所引致之貯存、搬運、保險及任何其它費用,連同欠本公司之所有其它款項付清後,方可領取已購拍賣項目。
第十六條 逾期付款的措施
若買家未能按期付款,本公司有權採取以下措施:
(1) 對買家提出訴訟。要求賠償本公司因其違約造成的一切損失。包括因買家遲付或拒付款項造成的利息損失。
(2) 撤銷和暫時扣留本公司向同一買家出售的該件或任何其它拍賣品,直至買家履行條款規定,扣留期間所需的一切費用,包括貯存、保險、運輸到協力廠商等由買家支付。
(3) 徵得賣家同意,本公司可按照本規則規定再進行拍賣或以其它方式出售該拍賣品。原買家除了應當支付第一次拍賣中買家及賣家應當支付的酬金/佣金及其它各項費用並承擔再次拍賣或以其它方式出售該拍賣品所有用費外,若再進行拍賣或以其它方式出售該拍賣品所得的成交價低於原拍賣的成交價,原買家應當補足差額。
第十七條 所有權轉移
買家全額支付購買價款後,即可獲得拍賣品的所有權。
第十八條 付款
(1) 競投成功後,買家應自拍賣成交日起七日內全額繳付購買價款,並領取拍賣品。(包裝及搬運費用自負),否則應承擔違約責任。
(2) 所有貨款以港幣為結算單位,如買家以本公司指定貨幣以外之其它貨幣付款,應按買家與本公司約定的匯價折算或按照中國銀行(香港)有限公司於買家付款日前一個工作日公佈的港幣與該貨幣的匯價折算。本公司將向買家收取所招致之任何外匯及銀行費用。

(d) 信用卡(VISA/MASTER/銀聯)
第十九條 風險轉移
競投成功後,拍賣品的風險於下列任何一種情況發生後(以較早發生日期為準)即由買家自行承擔:
(1) 買家領取所購拍賣品;或
(2) 買家向本公司支付有關拍賣品的全部購買價款;或
(3) 拍賣成交日起七日屆滿。
第三部份 關於賣家的條款
第二十條 委託方式及賣家之保證
賣家委託本公司拍賣其物品時,若為真正物主必須持有效身份證明檔,並與本公司簽署委託拍賣協議書;若代理賣家委託本公司拍賣物品,應向本公司出示真正物主的相關授權檔,並與本公司簽署委託拍賣協議書。同時,就其委託拍賣品,賣家須向本公司及買家保證如下:
(1) 賣家為拍賣品之唯一物主,擁有把所有權轉讓予買家之無限權利,該拍賣品的拍賣不會侵害任何協力廠商的合法權益(包括版權索償)。
(2) 賣家盡其所知,就該拍賣品的來源和缺損向本公司進行全面及詳盡的披露和說明,不存有任何隱瞞或虛構之處。
(3) 如賣家違反上述保證,造成擁有該拍賣品的實際所有權的人或聲稱有權利的任何第三者索賠或訴訟,引致本公司及/或買家蒙受損失時,賣家須賠償本公司及/或買家因此所遭受的一切損失,並承擔因此而產生的一切費用和支出。
第二十一條 保險
(1) 除賣家另有書面指示外,否則拍賣品將自動受保於本公司的保險,保險金額以本公司與賣家雙方確定的底價為準。此保險金額只用於投保和索賠,並非本公司對該拍賣品價值的保證或擔保,也不意味著該拍賣品由本公司即可售得相同於該保險金額之款項。
(2) 如拍賣品成功拍賣,保險期限至拍賣成交日起七日止或買家領取拍賣品之日止(以兩者較早為準)。如拍賣品未成交,則保險期限至拍賣會結束後三十天內或賣家領回之日止(以兩者較早為準)。
(3) 賣家以書面形式告知本公司不需投保其拍賣任何品,則任何風險由買家自行承擔。
(4) 凡屬因本公司為拍賣品所購保險承保範圍內的事件或災害所導致的拍賣品損毀、遺失等,應根據所投保之保險公司的賠償規定處理。本公司在向保險公司進行得保險賠償後,將保險賠款扣除本公司費用(佣金除外)的餘款支付給賣家。若於本公司承擔風險期間,拍賣品遺失或損毀,則參照拍賣品的底價支付賠償,最高不得超過底價的100%。
(5) 本公司對用作裝裱拍賣品之畫框或玻璃之遺失或損毀不承擔責任,亦對下述情況直接或間接所造成之遺失或損毀不承擔責任:
(a) 濕度或溫度轉變;
(b) 正常損耗、磨損、逐漸變質、固有瑕疵或缺陷;
(c) 戰爭或戰爭中使原子裂變,放射性污染之武器或任何恐怖主義襲擊。
第二十二條 佣金及其它費用
(1) 除賣家與本公司另有協議外,拍賣品成交後,賣家應支付本公司相當於成交價的百分之十五之佣金,及港幣1000元運輸費和港幣500元圖錄費,或另行商議。
(2) 如拍賣品未能成交,賣家無需支付本公司任何費用。
第二十三條 拍賣安排
(1) 所有拍賣品均設有底價,底價由本公司與賣家通過書面協議。底價數目一經雙方確定後如需更改,須事先徵得雙方同意。
(2) 本公司對圖錄內拍賣品之描述與圖示方式、 鑒定意見書、拍賣地點與方式、進場競投之人士以及競投價之接受、徵詢專家意見、以及將拍賣品合併或分開拍賣等,均有完全的決定權。
(3) 任何拍賣品的估價,無論口頭或書面,均只屬意見,而非拍賣品最終可賣得之價錢之保證。
第二十四條 拍賣守則
(1) 本公司將會參照底價將拍賣品拍賣。如競投價不能達到底價,本公司均不負有任何責任。但本公司有權將拍賣品以低於底價拍賣。如本公司按此將拍賣品拍賣,本公司將有責任向賣家支付成交價與底價之差額。
(2) 賣家不得競投自己委託本公司的拍賣品,也不得委託他人代為競投,否則賣家應自行承擔相應之責任,賠償本公司因此引致之全部損失。
(3) 除賣家與本公司另有協議,否則若拍賣品在拍賣會中收回或未成功拍賣,本公司有權在拍賣後三十天內按不少於該拍賣品淨款價(即底價扣除一切費用的價格)收購;或按賣家另行同意的較低價該拍賣品出售。在此情況下,賣家就該拍賣品而對本公司所負之責任,等同與拍賣品成功拍賣。
(4) 本公司除向買家收取成交價外,亦收取按成交價計算之酬金。本公司並有權保留此筆酬金。
第二十五條 拍賣品撤回
(1) 任何拍賣品送交本公司確認收訖,若賣家要求撒回拍賣品,則必需經本公司同意後,方可撒回其拍賣品。若該拍賣品已列入圖錄或其它宣傅品已開始印刷,則應支付相當於該拍賣品底價百分之二十五的款項,並支付其它各項費用。如圖錄或任何其它宣傳品尚未印刷,也需支付相當於該拍賣品底價百分之十的款項,並支付其它各項費用。對因撤回拍賣品而引起的任何爭議或索償與本公司無關。
(2) 本公司保留因賣家違反本公司的業務規定或本公司將拍賣品納入拍賣並不適當等原因而撤回拍賣品之權利。
第二十六條 成功拍賣後
(1) 拍賣品成功拍賣後,本公司將要求買家全額付款。在買家付款後,本公司會於成功拍賣日期後二十一天,將成交價扣除賣家應支付之所有費用之款額付予賣家。
(2) 如買家延遲付款,本公司將在買家付款後七天內把(1)之款項付予賣家。
(3) 拍賣品成功拍賣日期後六十天,如買家未全額付款,則表明交易取消,本公司將拍賣品歸還賣家,而不承擔任何責任,訂金不會退還買家,如有訴訟,買家要承擔責任。
(4) 如因拍賣品為膺品,而本公司被迫向買家收回,賣家須將已收取之拍賣凈款全數退還予本公司。
(5) 除賣家另有書面指示外,本公司將以港幣付款。
第二十七條 拍賣品未成交處理
(1) 如拍賣品未能成功出售或不包括在拍賣之內,或因任何理由而撤回拍賣,賣家應在本公司通知領回之七天內或拍賣結束後三十天(以兩者較早為準)領回該拍賣品,費用自理。賣家須在清付所有未付費用後,方可領回拍賣品。
(2) 任何此等拍賣品於本公司通知日期後或拍賣會結束後六十天內(以較早之日期為準)未被領回,本公司有權以公開拍賣或其它方式處置該拍賣品。處置所得在扣除本公司因此產生的全部費用後,若有餘款,則由賣家自行取回。
(3) 若賣家在指定限期內仍未有領回該拍賣品,風險由賣家自行承擔。若賣家要求本公司協助退回其拍賣品,退回的風險及費用由賣家承擔。除賣家另有指明並承擔保險費外,一般在運輸中不予投保。
第四部份 其它條款
第二十八條 版權
本公司有權自行對賣家委託本公司拍賣的任何物品作照片、 圖示 、圖錄或其它形式的影像製品,並依法享有上述照片圖示、圖錄或其它形式的製品的著作權,有權對其依法加以使用。
第二十九條 稅項
買家向本公司支付的所有款項均是凈額的,不得包括任何貨物稅,服務稅或者其它增值稅(不論是由香港或其它地區所徵收)。如有任何適用於買家的稅項,買家應根據現行相關法律規定自行負擔。
第三十條 本公司之選擇權
本公司有權拒絕任何人參加本公司舉辦的拍賣活動或進入拍賣現場,或對拍賣會進行拍照、錄音、攝錄等活動。
第三十一條 異常情況緊急處理
在拍賣現場出現異常的清況下,本公司有權做出緊急處理。如拍賣現場出現任何爭議,本公司有權協調解決。
第三十二條 法律及管轄權
(1) 各方的權利及義務,就有關本業務規則,拍賣的行為及任何與上述條文的事項,均由香港法律管轄及由香港法律解釋。
(2) 拍賣競投時,無論是親自出席或由代理人出席競投、書面、電話、及其它方法競投。買家則被視為接受本業務規定及為本公司之利益而言,服從香港法院之獨有裁判權。
第三十三條 可分割性
如本規則之任何條款或部分固任何理由被認定為無效,不合法或不可執行,本規則其它條款或部分仍然有效。
第三十四條 適用時間
本規則只適用於本次拍賣。本公司可不時更新本規則,競投人和賣家參與另一次拍賣時,應以當時適用的拍賣規則為準。
第三十五條 規則制定
本業務規則有中、 英文版本。如有相異,則以中文版本為準。
Part 1 GENERAL
Article 1 Jurisdiction
These Conditions of Business (hereinafter referred to as the "Conditions") are formulated in accordance with the relevant laws, decrees, rules and regulations of the Hong Kong Special Administrative Region and the provisions of the Auction Articles of Winsage Auction Company Limited (hereinafter referred to as "Winsage Auction") and in light of international practice.
By bidding at auction the Bidder agrees to be bound by these Conditions. Buyers and Sellers are therefore advised to read the Conditions carefully and each clause contained herein, and shall be responsible for their actions under these Conditions.
Article 2 Declaration
1. We generally represent the Seller during the auction. When the auctioneer confirms the highest bid by striking his hammer or in any other manners openly, the Bidder with the highest bid shall be the Buyer of the Lot and the sale contract concerning the Lot between the Seller and the Buyer shall come into effect immediately. Any legal effect accrued thereupon shall be borne by the Seller and the Buyer respectively .These Conditions are the terms on which we contract, as the Auctioneer, with the Seller and with the Buyer as well as the terms on which the Seller and the Buyer conclude a contract concerning the Lot.
2. We, acting as agent of the Seller, shall undertake no liability for any breach of contract by the Buyer or the Seller.
Article 3 Definitions and Interpretation
The terms used in these conditions shall have following meanings:
1. "We/Us/Company" means Winsage Auction Company Limited;
2. "Bidder" means a natural person or legal person or organization that has duly completed the necessary registration formalities with our Company and acquired the right to bid;
3. "Buyer" means the person who makes the highest bid accepted by the auctioneer;
4. "Lot" means any item(s) deposited with us for sale at auction and, in particular, the item or items described against any lot number in any catalogue;
5. "Seller" means the owner of the owner's agent or the person in possession of the property consigned;
6 "Hammer Price" means the amount of the highest bid accepted by the auctioneer in relation to a Lot;
7. "Reserve" means the minimum price per the agreement with the Seller at which the Lot can be sold, it is always confidential;
8. "Auction Date" means the published date on which the auction will formally begin.
Part 2 CONDITIONS APPLICABLE TO BIDDER
Article 4 Bidder
1. Every Bidder shall be deemed to act as principal unless Winsage Auction has, before the date of the auction, acknowledged in writing that the Bidder is acting as agent on behalf of a disclosed principal.
2 Where the Bidder is an individual, he or she shall fill in and sign before the Auction Date, the registration documents on the strength of an identity document with photo issued by the government (such as a resident identity card or passport). And provide proof of his or her current address (e.g. a utility bill or bank statement); Where the Bidder is a company or other organization, it shall fill in and sign the registration documents on the strength of its valid incorporation document, proof of shareholding and lawful authorization document, and collect a paddle before the Auction Date. The Company may request the Bidder to present banking information for making payment or other proof of financial standing.
Article 5 Paddle
The Company may, depending on the auction condition and auction method, announce the conditions and procedures of obtaining a paddle before the Auction Date, including but not limited to formulating the qualification conditions necessary for bidders to carry out the procedures for a paddle.
The Company solemnly reminds the Bidder that a paddle is the sole proof for the Bidder to participate in the bidding in person. The Bidder shall duly safeguard the paddle and may not lend the paddle to another. If it is lost, the Bidder shall promptly carry out the loss report procedures by way of a written method approved by the Company.
All of the bidding acts carried out during the auction by a paddle holder, regardless of whether he or she has been appointed by the Bidder, shall be deemed as having been done by the paddle registrant himself or herself, and the Bidder shall bear the legal liability for the acts of such person, unless the paddle registrant has himself or herself carried out with the Company the procedures for reporting the loss of a paddle by way of a written method approved by the Company, and the paddle in question is declared void by the Auctioneer on the spot.
Article 6 Deposit
All Bidders are required to place deposit before a paddle is issued. The amount of deposit will be announced before the Auction Date. The deposit will be refunded to the Bidders, with no Interest, within five working days after the auction in the case of unsuccessful bids. If Bidder succeeds at auction, the deposit will be used to offset the invoice value payable by that Bidder (as Buyer) and the balance (if any) will be refunded at collection. The required Deposit pay to Winsage Auction in accordance with the following schedule:
- Total bid at HK$50,000.00 or below?????deposit at 100%
- Total bid at HK$50,001.00 - 200,000.00????deposit at 50%
- Total bid at HK$200,001.00 or above???? deposit at 25%
The balance shall be paid within seven days after auction ended.
Article 7 Catalogue and Lot Descriptions
1. For the auction, we will prepare a catalogue to introduce the status of the Lot with words and/or pictures for the convenience of Bidders and Sellers. The words, reference prices and pictures therein contained as well as other images and advertisements are for Bidders' reference only and are subject to revision before auction. We provide no guarantee for the authenticity, value, tone, quality and flaw or defect of any of the Lots.
2 In case that the tone, color, gradation and shape shown in the catalogue and/or any other illustrations, images and advertisements differ from those of the original Lot due to print, photograph and other technical reasons, the original shall apply.
3. We strongly advise the Bidders to inspect personally the original Lot they intend to bid by identification or other methods before Auction Date. Bidders shall judge whether the descriptions in the catalogue are accurate rather than relying on our catalogue, images and advertisements of the Lot.
Article 8 Absentee Bid
1. Prospective Bidders are advised to attend the auction in person. In the event the Bidder is unable to do so, Winsage Auction will accept the Bidder's written instruction to bid on their behalf, but neither Winsage Auction nor its employees shall be liable to the Buyer for any neglect or default in so doing or for failure to do so.
2. Prospective Bidders shall authorize Winsage Auction to act as his/her agent by submitting the Commission Bid Agreement, duly completed, at least 24 hours before the auction day.
3. If we receive more than one absentee bid with same bid price for a particular lot, and at auction these bids are the highest bids for the lot, it will be sold to the person whose absentee bid we received first.
Article 9 Disclaimer of Liability for Absentee Bid
Given that absentee bidding is a free service provided by the Company to the Bidder.
For the purpose of transmitting bidding information, neither the Company nor its employees shall be liable for unsuccessful bids or any errors, omissions, negligence, fault or inability to bid on the Bidder's behalf arising in the course of the bidding on the Bidder's behalf.
Article 10 Reserve and Estimated Price
A Reserve is set for all of the Company's auction properties, unless it is not indicated or stated that an auction property is not subject to such a Reserve. In general, the Reserve is not higher than the lowest Estimated Price announced or published before the auction by the Company. If a Reserve has not been set for an Auction Property, unless there already have been bids, the Auctioneer shall have the right, at his or her discretion, to decide the starting price, which, however, may not be higher than the lowest Estimated Price of the Auction Property before the auction.
Under no circumstances shall the Company bear any liability in the event that the bids for an Auction Property fail to reach the Reserve at the Auction held by the Company. If the bids for an Auction Property are lower than the Reserve, the Auctioneer shall have the right, at his or her discretion, to sell the Auction property at a price lower than the Reserve. However, under such a circumstance, the amount that the Company shall pay the seller shall be the amount that the Seller would have received if the Auction Property had been sold at the Reserve.
An Estimated price is estimated some time before the Auction date, is not a selling price, and is not legally binding. No Estimated Price may serve as a forecast of the Hammer Price for an Auction Property, and the Company has the right to revise from time to time Estimated Prices that have already been made.
Article 11 Images and Screens
Videos or other screens in operation may be used in Auctions for the convenience of Bidders, which is for reference only. However, there may be errors or omissions in the figures, numbers, images projected, or foreign exchange rates on the screen. We shall not be liable for any losses and damages caused by such errors or omissions.
Article 12 Auctioneer's Discretion
1. The auctioneer has the right at his absolute discretion to refuse any bid, to advance the bidding in such manner as he deems appropriate, to withdraw and, in case of error or dispute, to put an Item up for bidding again.
2. In making a bid, the Bidder acknowledges the increment offered by Winsage Auction. Only Winsage Auction on-site auctioneer has the right to adjust the Increment.
Article 13 Successful Bid
When the highest bid is confirmed by striking the auctioneer's hammer or in other public manner, the Bidder with the highest bid succeeds in the bid. The sale contract of the Lot between such Bidder (as Buyer) and the Seller is therefore concluded. The Buyer shall sign the Confirmation Slip to confirm the successful bid.
Article 14 Remuneration
The Bidder will be deemed as the Buyer of the Lot after succeeding in the bid and shall pay us remuneration equal to:
Hammer Price HK$1,000,000.00 or under 20%;
HK$1,000,001.00 or above 18%.
Article 15 Collection of Lot
1. The Buyer shall collect the purchased lot no later than seven days after the Auction Date. Otherwise, the Buyer shall be solely responsible for all risks and losses of the lot concerned and bear all expenses for transportation, storage and insurance, etc. resulting from such delay. Even though the lot is still under our or any of our agent's custody, neither we nor our agents shall be liable for any losses or damages incurred regardless of the reasons.
2. We may arrange packing and handling of the purchased Lot on behalf of the Buyer upon his/her request and the Buyer shall be liable for any loss arising thereupon. In addition, we shall undertake no liability for any fault, omissions, damages and losses caused by the packers or carriers we recommended.
3. Where purchases are not collected within seven calendar days from the Auction Date, whether or not payments have been made, we shall be permitted to remove the property to a third party warehouse at Buyer's expense, and only release the items after payment in full has been made for the removal, storage, handling, insurance and any other costs incurred, together with payment of all other amounts due to us.
Article 16 Remedies for Non-payment
If the Buyer fails to pay for the purchased Lot on time, Winsage Auction shall have the right to take the following actions:
1. To take legal action against the Buyer for all losers incurred due to breach of contract, including loss of interest due to delay payment or failure in making payment.
2. To rescind or retain the purchased Lot or any other Lots sold to the Buyer at the same or any other auctions, until the Buyer fulfills all his/her obligations. All costs and expenses incurred in connection therewith (including storage), shall be borne by the Buyer.
3. Subject to Seller's consent, re-sell the Lot by public auction or any other means according to these Conditions. The original Buyer shall be liable to the Seller for the remuneration/commission and other expenses occurred at such auction as well as all expenses for re-sale by public auctions or any other means. In addition, the original Buyer shall also be liable for the difference between the original Purchase Price and the proceeds from such re-sale.
Article 17 Transfer of Ownership
The Buyer will acquire ownership of the Lot after full payment of the purchase price.
Article 18 Payments
1. The Buyer shall make full payments in a lump sum and collect the Lot (package and transportation at Buyer's expense) within seven days after the Sale Date. Otherwise, the Buyer shall be liable for breach of contract.
2. All payments shall be made in Hong Kong Dollars. If the Buyer make payments in currency other than the designated one, the currency shall be converted at the rate agreed upon by the Buyer and us or at the rate announced by Bank of China (Hong Kong) Limited one working day prior to the payment. We shall charge the Buyer for any conversion costs or bank charges incurred.
3. Payment Method:

(c) By Cheque (Payable to "Winsage Auction Company Limited")
(d) By Credit Card (VISA/MASTER/Union Pay)
Article 19 Transfer of Risks
After a successful bid, any Lot purchased shall be entirely at Buyer's risk as soon as one of the following occurs:
1. the Buyer collects the Lot purchased; or
2. the Buyer pays us full Purchase Price for the Lot; or
3. a lapse of seven days from the Auction Date.
Part 3 CONDITIONS APPLICABLE TO SELLER
Article 20 Consignment Procedures and Seller's Warranty
For consignment, the Seller shall hold a valid identity card or other proof of identity, and sign a consignment contract with us. If the consignment is done through an agent, the agent must submit valid authorization document, and sign a consignment contract with us. At the same time, the Seller or his/her agent warrants as follows:
1. Seller is the sole owner of the Lot with unrestricted rights to transfer title to the Buyer without infringing upon the legal rights (including copyright) of any third party.
2. Seller has, to the best of his/her knowledge, made full and complete disclosure regarding the origin of the Lot, any flaw or defect therein contained, without any concealment and fabrication.
3. The Seller shall indemnify us and/or the Buyer against any claims, losses and damages arising from any disputes over the ownership of the Lot, and be responsible for all expenses and costs incurred by us and/or the Buyer as a result of the breach of any of the above warranties.
Article 21 Insurance
1. Unless the Seller instructed otherwise in writing, all the Lots will be covered by insurance arranged by Winsage Auction upon signing of the consignment contract and delivering of the Lots to us. The sum insured shall be based on the Reserve per the consignment contract. The sum insured is for insurance purposes only and by no means our warranty for the value or the Hammer Price of the Lot.
2. Upon successful sale, the insurance shall terminate on the earlier of the expiry of seven days from Auction Date and the date when the Buyer collects the Lot. If the auction fails, the insurance shall terminate upon the expiry of 30 days after the Auction Date or the date the Seller collects his/her Lot (whichever date is earlier).
3. Should the Seller notifies us in writing to waive the insurance coverage, he/she shall be liable for all the risks and damages.
4. Any insurance claims arising from damages or losses of the Lot shall be based upon policies and regulations of the insurance company concerned. Upon due settlement of the claims, we shall pay the Seller all the insurance proceeds after deducting all expenses incurred (except sales commission). During the period in which we assume the risks of the Lot, we shall be liable for any loss thereupon for up to 100% of the Reserve only.
5. We shall neither assume liability for the lost/ damage of picture frames and glass panes, nor for the loss and damage of the Lot caused by the following circumstances whether directly or indirectly:
(a) variations in humidity and temperature;
(b) normal wear and tear, natural deterioration, or existing flaws and defects;
(c) war or warlike nuclear attack, contamination due to radioactivity, and any terrorist attack.
Article 22 Commissions and other charges
1.After the sale of the Lot, the Seller shall pay 15% of the Hammer Price to the Company as commission, HKD1000 transportation fee and HKD500 catalogue fee, except the Company have the other negotiation/agreement with the Seller.
2.If the Lot fails to be sold, the Seller does not need to pay any fees to the Company.
Article 23
1. All Lots have a Reserve, and the Reserve is agreed in writing by the Company and the Seller. If the Reserve is determined by both parties and needs to be changed, prior consent must be obtained from both parties.
2. The Company have full discretion of description of the Lots in the catalogue and the way they are illustrated, appraisal of Lots, auction location and methods, acceptance of bidders and the bid prices, experts’ consultation, merge/separate Lots etc.
3. The Estimated Price of all Lots is only the reference for Bidders, it is not a guarantee of the final price of any Lots.
Article 24 Conduct of the Auction
(1) All lots are offered subject to a Reserve. If the bid price cannot reach the Reserve, the Company will not bear any responsibility. The Company has the right to sell the Lot below the Reserve. Under this circumstance, the Company will be responsible for paying the difference between the Hammer Price and the Reserve to the Seller.
(2) Sellers are not allowed to bid on their own Lots, nor can they be entrusted others to bid on behalf of themselves. Otherwise, Sellers should bear all the responsibilities and compensate the Company all the losses incurred in this action.
(3) Unless otherwise agreed between the Seller and the Company, if the Lot withdrawn or not successfully auctioned, the Company is entitled to purchase the Lot with not less than the Reserve (or a price which is lower than the Reserve consent with the Seller) within thirty days after the auction. Under this circumstance, the Seller’s responsibility to the Company for the Lot is equivalent to successful auction of the Lot.
(4) Except collecting the Hammer Price from the Buyer, the Company also collects the commission which is based on the Hammer Price. The Company has the right to retain this commission.
Article 25 Withdrawal of Lots
(1)If the Seller requests to withdraw the Lot after sending to the Company for confirmation of receipt, it must be approved by the Company before the Lot can be returned. If the Lot has been included in the catalogue or other promotion items, the Seller shall pay a sum equal to 25% of the Reserve of the Lot and other expenses incurred. If the catalogue or other promotion items has not yet been printed, the Seller shall pay 10% of the Reserve of the Lot and pay other expenses incurred. The Company bear no responsibility of any dispute or claim arising from the withdrawal of the Lot.
(2) The Company reserves the right to withdraw the Lot due to the Seller's violation of the Company's business rules or the Company's business consideration.
Article 26 After Auction
(1) The Buyer shall settle the full payment after the Auction. After that the Company will pay the net selling price (Hammer Price less Seller’s commission) within twenty-one days after the Auction Date.
(2) If the Buyer delays the payment, the Company will pay the amount of (1) to the Seller within seven days after the Buyer’s settlement.
(3) If the Buyer fails to pay the full amount within sixty days after the Auction Date, it means the transaction is cancelled. The Company will return the Lot to the Seller without any liability. The deposit will not be refunded to the Buyer. The Buyer shall take responsibility if there is any litigations.
(4) If the Lot is a defect, and the Company is forced to withdraw it from the Buyer, the Seller must return the full amount of the net selling price to the Company.
(5) Unless otherwise stated in the Seller's written instructions, the Company will settle the payments in Hong Kong dollars.
Article 27 Lots fail to be sold / Bought-in
(1) If the Lot fails to be sold or is not included in the auction, or is withdrawn for any reasons, the Seller should withdraw the Lot within seven days of the Company’s notice or within thirty days after the Auction Date (whichever is earlier) at the Seller’s own expenses. The Seller must settle all the unpaid charges before withdraw the Lot.
(2) The Company is entitled to auction the Lot or any other ways if the unsold Lot has not been withdrawn within sixty days after the date of notice of the Company or the Auction Date (whichever is the earlier). After the deduction of all expenses incurred by the Company, the balance will be given to the Seller.
(3) If the Seller has not withdrawn the Lot within the specific period mentioned above, the Seller shall bear the risk. If the Seller requires the Company to assist in returning the Lot, the return risk and costs shall be borne by the Seller. Unless otherwise specified by the Seller and bear the insurance costs, it is generally not insured during transportation.
Part 4 OTHERS
Article 28 Copyright
The Company has the right to do photograph, pictorially or other forms of imagery of the Lot and to enjoy the copyright of the above photos, illustration or other form of the product in accordance with the law.
Article 29 Taxes
All payments made by the Buyer to the Company are net and not included any goods tax, service tax or other value-added tax (whether levied by Hong Kong or other regions). If there is any tax applicable to the Buyer, the Buyer should bear the tax according to the laws and regulations.
Article 30 Right to choose
The Company has the right to refuse any persons to participate in the Auction or enter the auction venue, or to take pictures, recording, video recording and other activities.
Article 31 Urgent Handling of Emergency Situations
In the event of an abnormality in the auction, the Company has the right to make emergency handling. If there is any dispute in the auction, the Company has the right to coordinate the resolution.
Article 32 Laws and Jurisdiction
(1) The rights and obligations of the parties in relation to these business rules, the conduct of the auction and any matters relating to the above-mentioned provisions shall be governed by and construed in accordance with the laws of Hong Kong.
(2) When auction starts, whether it is attended in person or in any forms of absentee bids (written instructions, telephone orders etc.), the Buyers are deemed to be subject to the provisions of this business rules and in the interest of the Company, subject to the exclusive jurisdiction of the Hong Kong courts.
Article 33 Severability
If any of the provisions of this business rules are deemed to be invalid, illegal or unenforceable, other provisions or parts of this business rules are still valid.
Article 34 Application Time
This rule only applies to this auction. The Company may update this rule from time to time. When Bidders and Sellers participate in another auction, the applicable auction rules shall prevail.
Article 35 Rulemaking
This business rule is available in Chinese and English. In the event of any discrepancy, the Chinese version shall prevail.
